1. About These Terms and Acceptance

These Terms & Conditions ("Terms") govern your access to and use of all websites, pages and services operated by Neuro Recode Private Limited, including:

• neurorecode.in and all its subdomains, including learn.neurorecode.in
• landing pages, funnel pages and booking pages
• consultation and RCA bookings
• workshops, webinars, one-to-one sessions and group sessions
• coaching, mental wellness, emotional wellbeing, stress and anxiety management, behavioural coaching and personal-development programs
• digital courses, recorded programs, eBooks and other digital products
• any future service offered by Neuro Recode

How you accept these Terms

• Browsing: By browsing our websites, you agree to the website-use rules in Sections 17, 21 and 22.
• Booking or purchasing: Before you book or make any payment, you will be asked to actively confirm, by ticking a checkbox, that you have read and accept these Terms, our Privacy Policy and our Refund & Cancellation Policy. A booking or purchase cannot be completed without this confirmation.

These Terms should be read together with our Privacy Policy, Refund & Cancellation Policy, Cookie Policy and Wellness / Non-Medical Disclaimer, which form part of these Terms.

2. About Us

In these Terms, "Neuro Recode", "we", "us" and "our" refer to Neuro Recode Private Limited. "You" and "your" refer to any person who visits our websites or uses our services.

3. Definitions

• "Services" means all consultations, RCA bookings, sessions, workshops, webinars, programs, coaching, digital products and any other offering provided by Neuro Recode, whether online or offline.
• "Program" means any structured, multi-session or higher-value offering, including coaching and mental wellness programs.
• "Session" means any live interaction, whether one-to-one or group, online or offline.
• "Facilitator" means any authorised Neuro Recode coach, trainer, facilitator, consultant or appropriately engaged professional who delivers Services on our behalf.
• "Content" means all materials we provide, including videos, recordings, worksheets, audio, slides, eBooks, frameworks, text and graphics.

4. Eligibility

Our Services are available only to individuals aged 18 years and above. By using our Services, you confirm that you are at least 18 years old and legally able to enter into a binding agreement.

We do not currently offer Services to minors, including with parental consent. If we learn that a user is under 18, we may cancel the booking or access, and any refund will be handled under our Refund & Cancellation Policy and applicable law.

5. Nature of Our Services

Neuro Recode's standard Services are non-clinical wellness, coaching, educational and personal-development services.

Our standard Services are not:

• medical diagnosis or medical treatment
• psychiatric treatment
• prescription or medication services
• a substitute for care from a qualified doctor, psychiatrist, psychologist or other licensed healthcare professional

When delivering standard Services, Facilitators act in a non-clinical coaching, training or educational role, even if an individual Facilitator holds other professional qualifications. They do not diagnose conditions or prescribe, change or stop medication as part of these Services.

If you are currently under medical or psychiatric care, please continue that care. Do not stop or change any treatment or medication because of anything discussed in our Services. Consult your doctor before making any health decision.

7. Your Responsibilities

When using our Services, you agree to:

• provide accurate and complete information during booking, intake and registration
• take responsibility for your own decisions, actions and wellbeing during and after the Services
• seek appropriate medical or professional care for any health concern, independently of our Services
• use a stable internet connection, a suitable device and a private space for online sessions
• follow the conduct rules in Section 14

We may decline, pause or discontinue a booking or Program where, based on the information available to us, we believe a non-clinical service may not be appropriate for your needs. Such a decision is an operational decision about our Services. It is not a medical, psychological or clinical assessment of you. Any refund in such a case will be handled under our Refund & Cancellation Policy and applicable law.

8. Consultation and RCA Bookings

The following summarises how ₹149 RCA / consultation bookings work. The full, binding rules are in our Refund & Cancellation Policy.

• The RCA / consultation booking fee is ₹149 unless a different amount is displayed at the time of booking.
• A booking is confirmed only after successful payment and a confirmation from us.
• The booking fee is non-refundable once the booking is confirmed, except as provided in our Refund & Cancellation Policy or required by law.
• You may reschedule if you request it at least 24 hours before your appointment.
• Late cancellations (less than 24 hours before) and no-shows do not automatically qualify for a refund or a free reschedule.
• Rescheduling is subject to Facilitator availability.

If there is any conflict between this Section and the Refund & Cancellation Policy, the Refund & Cancellation Policy will prevail.

9. Workshops, Programs and Sessions

• Our Services are delivered primarily online, through platforms such as Zoom. Offline workshops, events or sessions may be held where specifically announced.
• Sessions may be delivered by any authorised Facilitator. Unless expressly promised in writing, we do not guarantee that a specific Facilitator will conduct your session.
• We may change the date, time, Facilitator, platform or format of a session where reasonably necessary. We will inform you in advance wherever possible.
• The content, number of sessions, duration, inclusions and access period of each Program will be described on its page or communicated to you before payment. Only the inclusions stated for your Program apply.

10. Attendance, Missed Sessions and Rescheduling

• If you miss a scheduled live session without an eligible advance rescheduling request, the session may be treated as a no-show and consumed.
• A replay, replacement session or reschedule is not guaranteed unless your Program specifically includes it.
• Joining late does not extend the session time.
• We are not responsible for sessions missed because of your internet, device, power or platform issues.

11. Pricing and Payments

• The total amount payable, including any applicable taxes, will be displayed or communicated before payment.
• Payments are processed through third-party payment providers such as Razorpay. We do not store your full card or bank details.
• Selected Programs may allow full payment or an approved part-payment / instalment arrangement. Any such arrangement will be communicated before payment. Access to the Program may depend on paying each instalment on time, and we may pause access if an agreed instalment remains unpaid.
• We may change prices for future bookings at any time. Changes do not affect bookings you have already paid for.
• If a payment fails, is reversed, or is subject to a chargeback without a valid reason, we may suspend your access until the matter is resolved.

12. Refunds and Cancellations

• Refunds, cancellations and rescheduling for all Services are governed by our Refund & Cancellation Policy.
• The Refund & Cancellation Policy is published on our website and is available for you to review before you make any payment. Program-specific refund terms, where applicable, will also be shown before payment.
• If Neuro Recode cancels a session or Program and cannot offer a suitable alternative date, you will be offered a reschedule or a refund for the undelivered portion, as described in the Refund & Cancellation Policy.
• Nothing in these Terms limits any rights you have under the Consumer Protection Act, 2019 or other applicable law.

13. Session Recording and Transcripts

13.1 Notice

Neuro Recode sessions are recorded. You will be clearly informed of this before you book, and you will be asked to give your explicit, affirmative consent (for example, by ticking a separate checkbox) before your booking is confirmed. Recording consent is never assumed merely from browsing our website or joining a session.

13.2 Consent for service delivery (required to book recorded Services)

With your consent, recordings and transcripts are used to deliver and manage your Services, including:

• transcription, including through AI transcription services such as Sarvam AI
• session summaries and program documentation
• quality review and supervision of the Services you receive

13.3 Consent for internal training and analysis (optional)

Internal training and conversation analysis will be carried out only where separate optional consent has been obtained. We may ask for this optional consent to use your recordings and transcripts for authorised internal conversation analysis and internal training of our Facilitators and team. You may refuse this consent. Refusing it will not affect your booking, participation or access to Services.

13.4 Processing by service providers

Recordings and transcripts may be technically processed and stored by our authorised service providers (such as video conferencing, cloud storage and transcription providers) acting on our instructions, for the purposes above only, and subject to appropriate confidentiality and data protection safeguards. Details are in our Privacy Policy.

13.5 Your choices

• Recordings and transcripts are not published or shared publicly without your separate, specific consent.
• If you do not wish to consent to recording under Section 13.2, please contact us before booking. We will tell you whether an alternative is available. If none is available, we may be unable to provide that Service.
• You may withdraw your consent at any time by writing to support@neurorecode.in with the subject line "Privacy Request". Withdrawal applies going forward and does not affect processing already carried out lawfully before withdrawal.
• You will receive access to recordings only where this is specifically included in your Program.

14. Participant Conduct and Confidentiality

During sessions and in any Neuro Recode group or communication channel, you agree to:

• treat Facilitators, staff and other participants with respect
• not use abusive, threatening, discriminatory, sexual or harassing language or behaviour
• not promote or sell your own or any third party's products or services
• keep confidential any personal information shared by other participants in group sessions, and not share it outside the session
• not attend while intoxicated or in a condition that disrupts the session

If you breach these rules, we may remove you from a session, group or Program. Any refund in such a case will be subject to applicable law and our Refund & Cancellation Policy.

15. No Recording or Redistribution by Participants

You must not, without our prior written permission:

• audio-record, video-record or screen-record any session
• take photographs or screenshots of sessions or participants
• livestream any session
• copy, download, share, sell or redistribute any session, recording or Content

A breach of this Section may lead to termination of access under Section 26, and we may take legal action.

16. Digital Products and Recorded Programs

• When you buy a digital course, recorded program, eBook or other digital product, you receive a limited, personal, non-exclusive and non-transferable licence to use it for your own personal, non-commercial purposes.
• Your access period, if limited, will be stated on the product page or communicated before payment.
• You must not share your login details or allow others to use your access.
• We may update, improve or restructure digital Content over time without reducing the core inclusions you paid for.

17. Intellectual Property

All Content, methods, frameworks, program names, trademarks, logos, designs and materials on our websites and in our Services, including the 3-Step Re-Code Protocol™ and the Neuro Recode name and brand, are owned by or licensed to Neuro Recode Private Limited.

You must not copy, reproduce, republish, sell, rent, sublicense, adapt, teach, or create derivative programs from our Content or methods without our prior written permission.

18. Testimonials and Reviews

• We may invite you to share testimonials, reviews, photographs, videos or success stories, including through review platforms such as Trustpilot. Sharing is entirely voluntary.
• Declining to give a testimonial or testimonial consent will not affect your participation, access to Services or eligibility for any Service in any way.
• We will use identifiable testimonial material publicly only with your specific consent, which you may withdraw for future use at any time.
• Results vary from person to person. Testimonials reflect individual experiences and do not guarantee that you or anyone else will achieve similar results.

19. Communications

19.1 Service communications

When you enquire, book or enrol, Neuro Recode and its authorised team may contact you by phone call, WhatsApp, SMS and email for purposes necessary to handle your enquiry and deliver your Services, such as:

• responding to your enquiry
• booking confirmations, reminders and rescheduling
• session links, program updates and access information
• payment, receipt and instalment communication
• feedback requests and important changes to these Terms or our policies

Calls with our team may be recorded for quality, training and record-keeping purposes. You will be informed of this in accordance with our Privacy Policy.

19.2 Promotional communications (separate, optional consent)

We will send you promotional or marketing messages by WhatsApp, SMS, email or calls (such as offers, new programs and campaigns) only if you have given separate, optional consent for this.

• Submitting a form, making a booking or making a payment does not, by itself, amount to consent to promotional messages.
• Giving or refusing promotional consent does not affect your booking or Services.
• You may withdraw promotional consent at any time by replying "STOP" where available or by writing to support@neurorecode.in.

20. Privacy and Cookies

We collect and use personal information, which may include wellness and intake information you choose to share, as described in our Privacy Policy. We use cookies and similar technologies, including advertising and conversion tools, as described in our Cookie Policy.

21. Third-Party Services and Links

Our Services rely on third-party platforms, including payment, video conferencing, booking, messaging, analytics and review services. Your use of those platforms is also subject to their own terms and policies. We are not responsible for their availability, content or practices.

Our websites may contain links to third-party websites. We do not control or endorse them.

22. Use of Our Websites

You must not:

• use our websites for any unlawful, fraudulent or harmful purpose
• attempt to gain unauthorised access to our systems, accounts or data
• introduce viruses, malicious code or automated scraping tools
• frame or embed our webpages in a way that changes their appearance or presentation
• link to our websites in a way that is misleading or falsely suggests a partnership or endorsement

We try to keep website information accurate and up to date, but we do not guarantee that it is always complete, current or available without interruption.

23. No Guarantee of Results

Personal growth and wellbeing depend on many factors, including individual effort, circumstances and consistency. We do not guarantee any specific outcome, improvement or result from our Services.

24. Limitation of Liability

To the maximum extent permitted by law:

• Neuro Recode is not liable for any indirect, incidental, special or consequential loss, including loss of income, opportunity or data.
• We are not responsible for decisions you make or actions you take based on our Services or Content.
• Our total liability for any claim relating to a Service is limited to the amount you actually paid for that specific Service.

Nothing in these Terms limits or excludes our liability for:

• fraud or fraudulent misrepresentation
• wilful misconduct or gross negligence
• death or personal injury caused by our negligence

Nothing in these Terms limits or excludes any liability or statutory right that cannot lawfully be limited or excluded under applicable consumer, privacy, data-protection or other law.

25. Indemnity

You agree to compensate Neuro Recode for reasonable losses, damages and costs (including reasonable legal costs) that we suffer to the extent they directly result from:

• your unauthorised recording, sharing or redistribution of sessions or Content (Section 15)
• your infringement of our intellectual property (Section 17)
• your fraud, or your deliberate provision of false information
• your unlawful acts, or your violation of another participant's privacy or confidentiality (Section 14)

This indemnity does not apply to any loss caused by Neuro Recode's own breach, negligence or misconduct, and it does not limit your rights under applicable law.

26. Suspension and Termination

We may suspend or end your access to any Service if you:

• breach these Terms
• behave in an abusive or unsafe way
• record, share or misuse our Content
• provide false information or make fraudulent payments

We will act proportionately and, where reasonable, give you notice and an opportunity to respond. Any refund on suspension or termination will be subject to applicable law and our Refund & Cancellation Policy.

27. Events Beyond Our Control

We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, pandemics, government orders, internet or power outages, or platform failures. Where possible, we will reschedule affected sessions. Where a Service cannot be delivered, refunds will be handled under our Refund & Cancellation Policy.

28. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Subject to applicable law, the competent courts at Tiruvannamalai, Tamil Nadu shall have jurisdiction.

Nothing in this Section affects your statutory rights as a consumer, including your right under the Consumer Protection Act, 2019 to file a complaint before the appropriate Consumer Disputes Redressal Commission, including where you reside or work, or to approach any other forum available to you by law.

29. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last Updated" date.

• Minor changes (such as clarifications, contact details or changes required by law) take effect when posted.
• Material changes that affect your rights or obligations will be notified to you in advance by email, WhatsApp or a clear notice on our website, where we have your contact details.
• Paid or ongoing Programs: A material change that adversely affects a Program you have already paid for will not apply to that Program without your consent, unless the change is required by law. If you do not accept such a change: where reasonably practicable, you may continue under the Terms that applied when you enrolled. Where continuation is not reasonably possible, we will provide an appropriate alternative, including cancellation and any refund due under the Refund & Cancellation Policy.

For new bookings made after a change, the updated Terms will apply and you will be asked to accept them at booking.

30. Language

These Terms are published in English, which is the official and legally binding version. Translations, including Tamil, may be provided for convenience. If there is any difference between the English version and a translation, the English version will prevail.

31. General

• Severability: If any part of these Terms is found invalid, the remaining parts continue in full effect.
• No waiver: Our failure to enforce any right does not mean we have given up that right.
• Entire agreement: These Terms, together with the policies referred to in Section 1 and any Program-specific terms shown before payment, form the complete agreement between you and Neuro Recode.
